Merchant Terms of Service

1. Agreement to Terms

By applying for, activating, or using any product or service offered by JDMH Business Solutions, LLC ("JDMH," "we," "us," or "our"), including but not limited to PointPlus Gateway, PointPlus Menu, PointPlus Books, WEB-POS, PaySumi payment processing, Sunmi hardware, TAP|VERIFY|PAY, and any related software or services (collectively, the "Services"), you ("Merchant," "you," or "your") agree to be bound by these Merchant Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age.
• Be a legally registered business entity or sole proprietor operating lawfully in your jurisdiction.
• Provide accurate, complete, and current information during the application and onboarding process.
• Maintain an active PointPlus Gateway or WEB-POS subscription to be eligible for PaySumi payment processing and hardware financing.

3. Services

JDMH provides the following services subject to these Terms:

• PointPlus Gateway – Cloud-based Android POS payment gateway software. Monthly SaaS fee of $49.99/mo plus a one-time setup fee of $10.00.
• PointPlus Menu – Digital menu and ordering solution. Monthly SaaS fee of $49.99/mo.
• PointPlus Books – Business accounting and bookkeeping software. Pricing per active subscription plan.
• WEB-POS – Web-based point-of-sale system. Monthly SaaS fee of $69.99/mo.
• PaySumi Payment Processing – JDMH's own payment gateway for eligible merchants. Subject to a one-time processing setup fee of $25.00. Transaction rates are disclosed separately in your merchant processing agreement.
• Sunmi Hardware – Android POS terminals and accessories sold or financed through JDMH. Hardware pricing and financing terms are disclosed at point of sale.
• TAP|VERIFY|PAY – NFC-based payment verification solution. Terms and fees disclosed separately.

4. Payment & Billing

By enrolling in any subscription service, you authorize JDMH to charge your payment method on a recurring monthly basis until cancelled. All fees are:

• Due in advance at the start of each billing cycle.
• Non-refundable unless otherwise stated in writing.
• Subject to change with 30 days written notice to the merchant.

Failure to maintain current payment information or failure to pay may result in suspension or termination of Services. Past-due accounts may be subject to a reinstatement fee.

5. Hardware Financing

Hardware financing is offered as a 12-month installment plan. By selecting financing, you agree to make all scheduled monthly payments for the full 12-month term. Early termination of financing does not waive the remaining balance. Devices financed through JDMH remain the property of the merchant upon full payment of all installments. JDMH reserves the right to disable software services associated with a financed device if payments become delinquent.

6. PaySumi Merchant Processing

PaySumi is JDMH's proprietary payment processing platform. By applying for a PaySumi merchant account, you agree that:

• JDMH will submit a VAR sheet and provision a merchant ID on your behalf.
• Processing rates, reserve requirements, and funding timelines are governed by your separate PaySumi Merchant Processing Agreement.
• JDMH is your direct point of contact for all processing support, disputes, and account changes.
• Fraudulent transactions, chargebacks, and violations of card network rules are the sole responsibility of the merchant.
• JDMH reserves the right to suspend or terminate processing privileges for any merchant engaged in prohibited or high-risk activity.

7. Acceptable Use

You agree not to use our Services to:

• Process transactions for illegal goods or services.
• Engage in fraudulent, deceptive, or misleading business practices.
• Violate any applicable local, state, federal, or international law or regulation.
• Infringe upon the intellectual property rights of JDMH or any third party.
• Reverse-engineer, decompile, or otherwise attempt to extract source code from any JDMH software.

Violation of acceptable use policies may result in immediate termination of all Services without refund.

8. Intellectual Property

All software, branding, logos, content, and technology associated with JDMH's Services — including PointPlus, PaySumi, and TAP|VERIFY|PAY — are the intellectual property of JDMH Business Solutions, LLC. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your business operations. No ownership rights are transferred.

9. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared in connection with the Services. This obligation survives termination of these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JDMH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. JDMH'S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE FEES PAID BY YOU TO JDMH IN THE 3 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless JDMH Business Solutions, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Term & Termination

These Terms remain in effect for as long as you use our Services. Either party may terminate Services with 30 days written notice. JDMH may terminate immediately for violation of these Terms, non-payment, or fraudulent activity. Upon termination, all licenses granted herein cease immediately and any outstanding balances become due in full.

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Florida in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees.

14. Changes to Terms

JDMH reserves the right to modify these Terms at any time. Changes will be posted to this page with an updated effective date. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
